Terms of Service

1. Acceptance of Terms

By creating an account or using QuantApp, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

These terms form a legally binding agreement between you and QuantApp. They apply every time you access or use the Service, regardless of how you access it.

2. Definitions

• "Service" — the QuantApp web application located at quantapp.ca, including all features, tools, and content provided through it.
• "User" or "you" — any individual who creates an account on the Service.
• "Account" — your registered login and associated workspace on the Service.
• "Workspace" — your tenant environment containing your projects, estimates, and data.
• "Estimate" — a construction cost estimate created within the Service.

3. Eligibility

You must be at least 18 years of age to create an account and use the Service.

If you are signing up on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these terms. In that case, "you" refers to both you individually and the entity you represent.

4. Subscription Plans

QuantApp offers two payment models:

Monthly subscriptions (all features included):

Pay-as-you-go credits:

• Credits never expire.
• All prices are in Canadian dollars. Applicable taxes (GST/PST/HST) are added at checkout.
• Monthly subscriptions auto-renew unless you cancel before the renewal date.

5. Free Trial

• Your free trial lasts 30 days. No credit card is required to start.
• During the trial, you have full access to all features of the Service.
• When the trial expires, your account converts to read-only — you can view your data but cannot edit, create, or export estimates.
• You may convert to a paid plan at any time during or after the trial.
• Trial data is retained for 30 days after expiry, then permanently deleted. See our Privacy Policy for details on data retention.

6. Cancellation and Refunds

• Monthly subscriptions: Cancel anytime. Your access continues until the end of the current billing period. No prorated refund is issued for the remaining days.
• Annual subscriptions: Non-refundable except within the first 30 days of initial purchase, during which a full refund is available upon written request to [email protected]. After the first 30 days, you may cancel anytime to stop auto-renewal at the end of the annual period; access continues until the end of the paid period.
• Pay-as-you-go (punch passes): Purchases are non-refundable. Unused credits remain redeemable until your account is deleted.
• Refund disputes: Contact [email protected] within 30 days of the charge.

7. Acceptable Use

You agree not to:

• Upload illegal content or use the Service for any unlawful purpose.
• Reverse-engineer, decompile, or attempt to extract source code from the Service.
• Attempt to access other tenants' data or circumvent workspace isolation.
• Upload malware, viruses, or malicious code.
• Share your login credentials with unauthorized users.
• Use the Service to send spam, harass others, or violate anyone's privacy.

We may suspend or terminate accounts that violate this policy, with or without prior notice depending on the severity of the violation.

8. AI Features and Disclaimer

Estimates, scope mappings, and material prices generated by AI are advisory only and may contain errors.

You are responsible for reviewing and verifying all AI-generated output before delivering quotes to your clients. QuantApp is not liable for any losses arising from reliance on AI-generated content without independent verification.

AI features use third-party providers (xAI Grok, Google Gemini). Their data handling practices are described in our Privacy Policy.

9. Intellectual Property

• Your content: You own all data, estimates, and content you upload or create in your workspace.
• Our platform: QuantApp owns the platform, software, user interface, branding, and AI models.
• Limited license: You grant QuantApp a limited, non-exclusive license to process your data solely to provide and improve the Service.
• Data export: You may export your data at any time using the built-in PDF and CSV export features.

10. Service Availability

We aim for high availability but do not guarantee a specific uptime percentage.

Planned maintenance will be announced in advance where feasible. We are not liable for downtime, data loss, or service interruptions caused by factors beyond our reasonable control, including third-party subprocessor outages.

11. Limitation of Liability

To the maximum extent permitted by the laws of British Columbia, Canada, QuantApp's total aggregate liability for any claim arising out of or related to the Service shall not exceed the total amount you paid to QuantApp in the 12 months immediately preceding the claim.

QuantApp shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities.

These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose.

12. Termination

• You may cancel your account at any time.
• QuantApp may terminate your account for breach of these terms with 14 days' written notice, or immediately in cases of serious breach (fraud, abuse, illegal use).
• Upon termination, your data is retained for 30 days to allow you to export it, then permanently deleted.

13. Governing Law and Disputes

These terms are governed by and construed in accordance with the laws of the Province of British Columbia, Canada.

Any disputes arising from or relating to these terms or the Service shall be resolved in the courts located in Vancouver, British Columbia.

14. Changes to These Terms

We may update these terms from time to time. Material changes will be communicated by email and in-app banner at least 30 days before the effective date.

Continued use of the Service after the effective date constitutes your acceptance of the updated terms.
